GETAWAY POINTS MEMBERSHIP AGREEMENT
Membership Terms & Conditions GETAWAY POINTS ("Program") is a product of Connexions Loyalty Travel Solutions ("CLTS"). The benefits of the Program include access to a member-only website where members can shop for and book leisure travel and merchandise. Members will be able to purchase air, car, hotel, cruise, vacation packages and merchandise using cash or a combination of cash + Getaway Points. This Membership Agreement ("Agreement") contains all the terms and conditions that apply to you becoming a member (“Member”) of the Program. Please note that throughout this Agreement, the words "we," "us," and "our" will mean CLTS, and "you," "your," and "yours" will mean you, the Member.
1. Enrollment Eligibility
The program is open to any member who agrees to participate in their sponsors program. You must have a valid email address as of the date of enrollment and throughout the membership term, be a resident of the United States, twenty-one (21) years of age or older, have Internet access and a valid credit card. By enrolling in the Program, you are certifying that you meet these eligibility requirements.
2. Membership Acceptance
Upon your initial enrollment you will be directed to the Getaway Points Web Site login page to create your unique username and password. Your user name and password are unique to you and are necessary to access the Program. Your username and password are non-transferable (see Section 8, below). To gain access to the Getaway Points Web Site homepage, you will need to login at the login page by supplying your username and password. We may discontinue your membership privileges and void or cancel your entire point balance if any Getaway Points in your account are issued, received or redeemed through fraud or theft or are otherwise illegal or not as authorized in this Agreement. These rights are in addition to any other legal or equitable remedy which may be available to us under applicable law.
3. Member Obligations
You shall comply with all rules, laws, and regulations that are applicable. You acknowledge that you may only participate in the Program if and to the extent that such participation is permitted by such laws, rules, and regulations. We may refuse at any time to enroll you, or to restrict, modify, or terminate your participation in the Program without liability to you or any other party, if you violate any law, rule, or regulation, or if your participation in the Program violates any law, rule, or regulation.
You agree not to forward any Program promotions or offers to non-Members without first obtaining our express written permission. Our offers are specifically targeted to individual Members unless otherwise stated.
You agree not to misuse the Program privileges by conduct which is detrimental to the Program, including without limitation attempting to accrue Getaway Points or spend Getaway Points in a manner inconsistent with our policies or with this Agreement, having multiple accounts, making purchases on the behalf of any other third party, participating in purchasing or redemption fraud, or using any robot, spider, other automatic device or manual process to transact with or monitor the Program.
You agree to provide only accurate and true information to us at all times.
You agree to comply with all terms and conditions in this Agreement.
4. Membership Fees
Upon enrollment in Getaway Points, your membership will remain in effect until you cancel your membership or you leave the participating company either voluntarily or involuntarily. (See also Section 6, "Membership Termination".
As a participating member you will be entitled to services, at the discounted service rates as described below.
Fees paid for travel arrangements that you later cancel or modify are not refundable.
Information regarding taxes, governmental fees and other charges on any travel-related transactions not discussed above will be calculated and displayed to you prior to check-out. Other charges may be incurred while traveling that are not payable to us and are not included in the quoted price, such as resort fees, gratuities, telephone fees, room service, movies, mini-bar, or insurance.
5. Collection of Getaway Points
Once you have activated your Getaway Points account (created a username and password) Getaway Points will automatically be issued to your account subject to your sponsor’s rules and regulations. (See Sponsor for earn requirements) We may refuse to record or honor Getaway Points in your account, or if already recorded, we may cancel them, if we cannot confirm that they were properly issued or obtained. Except where required by law or provided for in the program rules, Getaway Points have no cash value.

6. Redemption of Getaway Points
In order to redeem Getaway Points, you must be actively enrolled. Enrollment is accomplished by completing an enrollment application through the Getaway Points Web Site at cwt.getawaypoints.com or through the Getaway Points Contact Center at 1-800-215-1873.
You may spend Getaway Points only on awards offered through cwt.getawaypoints.com. We will deduct Getaway Points from your account once your travel reservation is booked or your merchandise order has been processed.
We assume no responsibility for any loss, damage, defect, injury, death or expense relating to any award.
7. Membership Termination
Your membership in the Program will continue until you cancel your membership or until you are no longer affiliated (for any reason) with the participating organization.
8. Restrictions on Using Membership Benefits
Program benefits may not be used in conjunction with other discounts or promotions unless otherwise specifically provided. Program benefits are for Members only. Non-members are not entitled to receive such benefits except as part of a Member’s booking. Your Member name must be part of the traveling party in order for any of the benefits to apply or be used in conjunction with a particular trip. The one exception is the airline tickets which a member may book for someone else but must pay for using the member's credit card. As the enrolled Member, you are responsible for the use of your username and password and must notify us immediately if either is stolen, lost, misplaced or used by an unauthorized person. Failure to comply with these terms and conditions may result in cancellation of your membership.
9. Member Complaints
Member complaints should be directed to the Program Customer Service via e-mail to customerservice@getawaypoints.com or by telephone 1-866-215-1873. To enable us to fully investigate and respond in a timely manner, complaints should be reported within thirty (30) days after the purchase of the trip(s) which is the subject of the complaint or within thirty (30) days after the travel date, and should include appropriate documentation and any relevant reservation numbers, dates of travel and actual dollar amounts in dispute, if any. We will use commercially reasonable efforts to acknowledge all complaints within five (5) business days after we receive it.
10. Modification of Program Rules, Trips or Fees
We reserve the right, in our sole and absolute discretion, to modify this Agreement, or to modify, cancel, terminate or suspend the Program, its various trip(s) or change fees, at any time, including without limitation, the member eligibility requirements. We reserve the right to substitute the existing travel suppliers for the various trips or to change the scope of the trips and applicable purchase terms, in either case, at any time. Once a trip has been booked the supplier, dates, price, are set and not subject to change. Any such change may occur at any time without notice to you. Your continued participation in the Program maintains acceptance of any such changes. If any modification is unacceptable to you, your only option is to notify us that you wish to cancel your membership.
11. Privacy and Security
Protecting your privacy and providing security is important to us. Please review our Privacy Policy.
12. Liability and Responsibility
The travel suppliers providing trips, including hotel, air, car, and other arrangements are independent contractors and are not agents or employees of Connexions or any of its affiliates. Members purchase trips from travel suppliers at their own risk. Travel suppliers offer their services in accordance with applicable laws, and all documentation, receipts and tickets are issued subject to the terms and conditions specified by such travel suppliers. Travel documents are your responsibility. Claims for personal or monetary damage, injury or loss of life must be directed solely to the applicable travel supplier(s), and not to Connexions. The passage contract between you and an airline or other travel supplier, once issued, constitutes the only agreement between you and that travel supplier. You agree that as a member and by utilizing member benefits or services, that neither Connexions nor any of its affiliates shall be liable for any accident, loss, injury, death, illness, or damage to you or those traveling with you in connection with any accommodations, transportation or other services or resulting directly or indirectly from any occurrences or conditions beyond Connexions's control. Connexions is not responsible or liable for any act, error, omission, neglect or default or any other act or inaction of any travel supplier.
13. NO WARRANTY
CONNEXIONS AND ITS SUPPLIERS PROVIDE THE GETAWAY POINTS WEB SITE AND SERVICES "AS-IS" AND WITHOUT ANY WARRANTY OR CONDITION, EXPRESS, IMPLIED OR STATUTORY. CONNEXIONS AND ITS SUPPLIERS SPECIFICALLY DISCLAIM ANY IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. Some states do not allow the disclaimer of implied warranties, so the foregoing disclaimer may not apply to you. This warranty gives you specific legal rights and you may also have other legal rights that vary from state to state.
14. Compliance with Applicable Laws and Regulations
Nothing in this Agreement is meant to supersede or override any provisions of current or future applicable laws and regulations. To the extent there is any inconsistency between this Agreement and any applicable laws or regulations, such laws or regulation shall govern your relationship with Connexions. The rights and responsibilities described in this Agreement and the Program rules shall be governed exclusively by the substantive laws of the State of Minnesota, without reference to its conflict of laws principles. You agree that all lawsuits that you might bring for any claim against Connexions must be brought in the District Court for Hennepin County, Minnesota. If you do not prevail in any such action, you agree that you will pay all costs incurred by Connexions in defending such action, including reasonable attorneys' fees.
15. Entire Agreement
This Agreement is an integrated Agreement and constitutes the entire agreement and understanding among the parties with respect to its subject matter. No representations, warranties or promises regarding the subject matter of this Agreement have been made or relied upon by any party to this Agreement other than those expressly set forth in this Agreement.
16. Termination, Changes and Breach
We reserve the right, in our sole and absolute discretion, to suspend or terminate the Program, to add, delete or change our travel suppliers, to modify or limit the use of redemption of any awards in any respect, to modify or change redemption procedures, including the number of Getaway Points required for particular awards, to modify or limit the collection of Getaway Points, including but not limited to imposing time limits and changes in point values, and to alter, limit, modify or add to the Program rules, regulations, terms and conditions. We may make these changes to any aspect of the Program, all without notice and even though changes may affect the value of Getaway Points already accumulated without prior notice at any time and from time to time.
17. General
This Agreement and its terms and conditions may be different from what you know about the Program. This Agreement constitutes the entire agreement between you and us regarding your participation in the Program, your entitlement to collect and redeem Getaway Points and your entitlement to any other benefits of the Program, and supersedes all previous versions. Except as expressly contained in this Agreement, we provide no other conditions, representations, warranties, express or implied, statutory or otherwise. When you deal with us over the Internet, you consent to the formation of contractual relations through electronic communications. We are the final authority as to the interpretation of this Agreement and as to any other questions or disputes regarding the Program or any award.
